For the purposes of these Terms and Conditions:

  • "We," "Us," "Our," or "Company" refers to Mistveil
  • "You," "Your," or "Client" refers to the individual or entity using our services
  • "Services" refers to all rental property services offered by Mistveil, including Quiet Market Access, Virtual Preview and Shortlisting, and Tenancy Care Programme
  • "Website" refers to our website accessible at mistveiaras.live
  • "Agreement" refers to these Terms and Conditions and any service-specific agreements

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.

These terms constitute a legally binding agreement between you and Mistveil. Your continued use of our services constitutes ongoing acceptance of these terms and any updates.

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete information during service engagement
  • Comply with all applicable laws and regulations in Singapore

4. Service Description

4.1 Quiet Market Access

This service identifies rental properties through professional networks and relationships. We pre-assess properties for suitability before presentation. Service fees are payable upon engagement and are non-refundable once property identification work has commenced.

4.2 Virtual Preview and Shortlisting

We conduct in-person property visits and provide video walkthroughs, floor plans, and written assessments. Service fees cover a specified number of property visits as outlined in the service agreement. Additional visits beyond the agreed scope may incur supplementary charges.

4.3 Tenancy Care Programme

This ongoing service provides tenancy management support throughout your lease duration. Annual fees are payable in advance. Service scope includes coordination of routine maintenance, landlord communication, and lease administration as detailed in the service agreement.

5. Service Fees and Payment

5.1 Fee Structure

Service fees are specified in your service agreement and on our website. All fees are quoted in Singapore Dollars (SGD) and exclude any applicable taxes unless stated otherwise.

5.2 Payment Terms

Payment is due as follows:

  • Quiet Market Access and Virtual Preview services: Payment required before service commencement
  • Tenancy Care Programme: Annual fee payable in advance at program enrollment and on each renewal date
  • Accepted payment methods include bank transfer and major credit cards

5.3 Refund Policy

Service fees are generally non-refundable once work has commenced. Refunds may be considered on a case-by-case basis if services cannot be delivered due to circumstances within our control. Requests must be submitted in writing to [email protected] within 14 days of payment.

6. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your property requirements
  • Respond promptly to inquiries and property presentations
  • Conduct yourself professionally in all interactions with landlords and property professionals
  • Verify all property information independently before entering lease agreements
  • Notify us immediately of any changes to your requirements or contact information
  • Comply with all terms of any lease agreement you enter into

7. Limitations and Disclaimers

7.1 Service Scope

Our services facilitate property search and tenancy management but do not guarantee property availability or lease approval. Final decisions regarding property selection and lease terms remain between you and the landlord.

7.2 Property Information

While we endeavor to provide accurate property information, we rely on data from landlords and property managers. We recommend conducting your own inspections and verification before entering lease agreements.

7.3 No Guarantees

We do not guarantee specific outcomes, including successful property placement, lease approval, or resolution of tenancy issues. Our services are provided on an effort basis with professional care and diligence.

7.4 Advisory Disclaimer

We are not legal, financial, or tax advisors. Information provided during service delivery is for general guidance only and should not be construed as professional advice. Consult appropriate professionals for legal or financial matters.

8. Intellectual Property

All content on our website and in our service materials, including text, graphics, logos, and software, is owned by Mistveil or licensed to us. You may not:

  • Reproduce, distribute, or create derivative works from our content without permission
  • Use our branding or trademarks without written authorization
  • Reverse engineer or attempt to extract source code from our systems
  • Share virtual preview materials beyond personal use for decision-making

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy. By using our services, you consent to our data practices as described in that policy.

10. Confidentiality

We maintain strict confidentiality regarding your property search and personal information. We will not disclose:

  • Your identity or contact information without your explicit consent
  • Your search requirements or preferences to unauthorized parties
  • Details of properties you have viewed or considered

You agree to maintain confidentiality regarding our business practices, client lists, and proprietary methodologies learned during service engagement.

11. Limitation of Liability

To the maximum extent permitted by Singapore law:

  • Our total liability for any claims arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim
  • We are not liable for indirect, consequential, or incidental damages including lost profits or opportunities
  • We are not responsible for actions or omissions of landlords, property managers, or other third parties
  • We are not liable for property condition issues discovered after lease commencement

These limitations apply regardless of the legal theory under which liability is asserted.

12. Indemnification

You agree to indemnify and hold harmless Mistveil, its employees, and advisors from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of third parties.

13. Service Termination

13.1 By Client

You may terminate services by providing written notice to [email protected]. Fees for services already performed are non-refundable. For Tenancy Care Programme, termination requires 30 days notice and fees are pro-rated to the notice period.

13.2 By Mistveil

We reserve the right to terminate services if you breach these terms, provide false information, or engage in conduct that interferes with service delivery. In such cases, fees are non-refundable.

13.3 Effects of Termination

Upon termination, we will cease active service delivery but retain records as required by law. Confidentiality obligations survive termination indefinitely.

14. Dispute Resolution

14.1 Informal Resolution

If disputes arise, we encourage informal resolution through direct communication. Contact us at [email protected] to initiate resolution discussions.

14.2 Governing Law

These Terms and Conditions are governed by the laws of Singapore. Any legal proceedings shall be subject to the exclusive jurisdiction of Singapore courts.

14.3 Arbitration

For disputes exceeding SGD 5,000, parties agree to attempt mediation before pursuing litigation. Mediation shall be conducted in Singapore under the Singapore Mediation Centre rules.

15. Force Majeure

We are not liable for failure to perform services due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, internet outages, or other force majeure events. Service timelines may be extended by the duration of such events.

16. General Provisions

16.1 Entire Agreement

These Terms and Conditions, together with any service-specific agreements and our Privacy Policy, constitute the entire agreement between you and Mistveil regarding our services.

16.2 Severability

If any provision of these terms is found unenforceable, the remaining provisions remain in full effect. Unenforceable provisions shall be modified to the minimum extent necessary to make them enforceable.

16.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision. Waivers must be in writing to be effective.

16.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights and obligations to affiliates or successors.

16.5 Notices

All formal notices must be sent in writing to [email protected] or to our registered address at 7 Leedon Park, Singapore 267847. Notices are deemed received when delivered via email or three business days after postal mailing.

17. Changes to Terms

We may update these Terms and Conditions periodically. Significant changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of our services after changes become effective constitutes acceptance of the updated terms.
